I'm with you on the "evil" part but I'm not sure about the "necessary." And you just described my life right now. I'm trying to buy another business to add to my collection. The seller and I went through all the negotiations and worked out all the details. My lawyer drew up the contract. It's fair and works out great for both of us. Now we've gone into a holding pattern while his lawyer pads his billable hours with inane points and suggestions to drag it out with stupid proposals even he knows I'd never accept and only provide a marginal benefit for his client even if I did at a great cost to me. My favorite was I take the shares in his C corp rather then buy the accounts and assets. The guy is just a moron. This isn't in his clients interest, it's in his.
